• Ensure all provided content does not violate any laws or third-party rights
• Make timely payments as outlined in service agreements
• Maintain your own website backups and security measures

4. Payment Terms

• Projects require a deposit before work begins

• Final payment is due upon project completion
• Late payments may incur interest charges
• Additional work outside scope requires separate agreements

5. Intellectual Property

Client Materials: You retain all rights to content, images, and materials you provide to Nine73 Design.

Deliverables: Upon full payment, Nine73 Design transfers ownership of final deliverables to you, unless otherwise specified in writing.

Tools and Processes: Nine73 Design retains rights to proprietary tools, processes, and methodologies used in service delivery.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of business. This includes but is not limited to business strategies, financial information, customer data, and trade secrets.

7. Project Timeline and Delivery

Project timelines are estimates based on current information. Delays may occur due to client feedback cycles, content availability, or unforeseen technical challenges. Nine73 Design is not liable for delays caused by factors beyond our control.

8. Revisions and Changes

Standard projects include a specified number of revision rounds as outlined in project agreements. Additional revisions beyond the included rounds may incur additional charges.

9. Website Hosting and Maintenance

For hosting and maintenance services:

• Monthly fees are due in advance
• Service interruption may occur for non-payment
• Client is responsible for domain registration fees
• Third-party service costs are additional
• 30-day notice required for service cancellation

10. Limitation of Liability

To the fullest extent permitted by law, Nine73 Design shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of our services. Our total liability for any claim shall not exceed the amount paid for the specific service in question.

11. Warranty Disclaimer

We provide services "as is" without warranties of any kind, either express or implied. We do not guarantee uninterrupted or error-free operation of websites or services.

12. Termination

Either party may terminate service agreements with written notice. Clients are responsible for payment for all work completed up to the termination date. Nine73 Design reserves the right to terminate services for non-payment or violation of these Terms.

13. Website Content and Third-Party Services

Nine73 Design is not responsible for third-party services, plugins, or content provided by clients. We are not liable for damages resulting from third-party service failures or client-provided content.

14. Indemnification

You agree to indemnify and hold Nine73 Design harmless from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

16. Changes to Terms
